Terms of Service

1. Introduction

These Terms of Service (“Terms”) form a binding agreement between you and Coursivo Education Lab Ltd, a private limited company registered in England and Wales (Company No. 17099303), with registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom (“Coursivo”, “we”, “us”).

By creating an account, enrolling in a programme, or otherwise using coursivo.xyz and our services (the “Service”), you agree to these Terms, our Privacy Policy, Cookie Policy, and Refund Policy.

2. Scope of services

Coursivo provides educational and advisory services in three disciplines - accounting fundamentals, business administration, and English communication - together with related learning tools and platform infrastructure. Programmes include open cohorts, small groups, one-to-one mentorship, and private team engagements as described on our website.

The following are expressly outside the scope of our services:

  • regulated financial, investment, or insurance advice;
  • regulated legal advice;
  • regulated tax advice or tax filings on your behalf;
  • statutory accountancy or audit services;
  • any activity requiring authorisation by the FCA, ICAEW, SRA, or HMRC.

Where you require regulated advice, you should engage an appropriately qualified and authorised professional. Educational content shared during programmes is general in nature and is not a substitute for such advice.

3. Accounts and registration

To enrol in most programmes you must create an account with a valid email address. You agree to provide accurate information, keep your credentials secure, and promptly notify support@coursivo.xyz of any unauthorised use. You are responsible for activity carried out through your account.

Accounts are personal. You may not transfer your account or share access with third parties unless you have purchased a Team engagement that expressly permits multiple seats.

4. Engagements, fees and payment

Programme fees are listed on the website in euros (EUR) and range from €999 to €9,499 depending on the programme. Team engagements are priced per engagement and confirmed in writing.

Payments are processed by Gumroad, Inc. as merchant of record. When you complete a purchase, your contract for payment is formed with Gumroad, and Gumroad’s own terms and privacy notice apply to that transaction in addition to ours. We do not collect or store your card details.

Unless otherwise agreed in writing, programme fees are payable in full at the time of purchase. Where a payment plan is offered, instalment dates and amounts will be set out in your enrolment confirmation. Late payment may result in suspension of access until the balance is settled.

VAT, sales tax, or local indirect taxes may be added at checkout depending on your country of residence. Where Gumroad is required to collect such taxes as merchant of record, the gross amount will be shown on your receipt.

5. Client obligations

You agree to:

  • treat mentors, instructors, and other learners with respect;
  • not share, resell, sub-licence, or publicly distribute programme materials, recordings, or workbooks;
  • not record live sessions without our written consent and the consent of other participants;
  • provide accurate information when asked, including for billing and invoicing;
  • comply with applicable laws when using the Service, including data-protection, intellectual property, and export control laws.

Harassment, plagiarism, or unauthorised distribution of materials are grounds for removal from a programme without refund.

6. Intellectual property

All programme materials, recordings, frameworks, templates, and software supplied by Coursivo (the “Coursivo IP”) are owned by Coursivo or its licensors and are protected by copyright, trade-mark, and other intellectual-property laws. You are granted a personal, non-exclusive, non-transferable licence to use the Coursivo IP solely for your own learning during the term of your engagement.

Artifacts you create during a programme (the “Client Artifacts”) remain your property. You grant us a limited, royalty-free licence to retain Client Artifacts for the purpose of mentoring, review, and certification. We may request your permission separately to showcase anonymised versions in marketing or teaching material; we will not use them without that permission.

7. Confidentiality

Each party will treat as confidential any information disclosed by the other that is marked confidential or that a reasonable person would treat as confidential, including programme content, client artifacts, business plans, and personal data. Each party will use such information only as necessary to perform this agreement and will protect it with at least the same care as its own confidential information of like importance, and in any case with reasonable care.

Confidentiality obligations do not apply to information that is or becomes publicly known through no breach of this clause, was known before disclosure, is independently developed without reference to the other party’s information, or is required to be disclosed by law or regulation.

8. Warranties and service standards

We will perform our services with reasonable skill and care and in accordance with the descriptions on our website at the time of your enrolment. Programme dates, cohort sizes, and mentor assignments are best-effort at the time of publication. Where a material change is necessary, we will notify you in writing at least seven (7) days before it takes effect, except where shorter notice is unavoidable.

We do not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service will achieve any particular outcome, including employment, revenue, or qualification. Except as expressly set out in these Terms, all warranties, conditions, and other terms implied by statute or common law are excluded to the fullest extent permitted by law.

9. Limitation of liability

Nothing in these Terms limits or excludes our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be lawfully excluded under English law.

Subject to the paragraph above, our total aggregate liability to you arising out of or in connection with these Terms or your use of the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited to the fees actually paid by you to Coursivo for the programme giving rise to the claim in the twelve (12) months preceding the event giving rise to the claim.

We will not be liable for any indirect, special, or consequential loss; loss of profit, revenue, business, contracts, or anticipated savings; loss of goodwill or reputation; loss or corruption of data; or wasted management time, however arising.

10. Indemnities

You agree to indemnify and hold harmless Coursivo, its directors, employees, and contractors against any third-party claim arising from your breach of these Terms, your misuse of programme materials, or your unlawful conduct in connection with the Service.

11. Term and termination

These Terms apply for as long as you hold an account or are enrolled in a programme.

You may close your account at any time by writing to support@coursivo.xyz. Closure does not entitle you to a refund except in accordance with the Refund Policy or applicable consumer law.

We may suspend or terminate your access if you breach these Terms, fail to pay, or place the Service or other learners at material risk. Where reasonable, we will give you notice and an opportunity to remedy the breach before termination.

12. Force majeure

Neither party will be liable for failure to perform any obligation (other than payment) where the failure is caused by an event beyond its reasonable control, including acts of government, civil unrest, natural disaster, network or platform-wide outage, pandemic, or industrial action affecting third parties. Affected obligations are suspended for the duration of the event.

13. Data protection

We process personal data in accordance with our Privacy Policy and GDPR Policy. Where we act as a data processor on your behalf in a Team engagement, we will enter into a separate data-processing addendum on request.

14. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent change. Material changes will be communicated by email to active account holders at least fourteen (14) days before they take effect. Continued use of the Service after the change takes effect constitutes acceptance.

15. General

These Terms, together with the documents referenced in them, are the entire agreement between you and Coursivo regarding the Service and supersede prior discussions. If any provision is held unenforceable, the remaining provisions will continue in full force. Our failure to enforce a right is not a waiver of that right. You may not assign your rights under these Terms; we may assign ours to an affiliate or successor in connection with a corporate reorganisation.

16. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales. You and Coursivo submit to the exclusive jurisdiction of the courts of England and Wales, except that we may bring proceedings to enforce our rights in any jurisdiction where you reside or do business.

If you are a consumer resident in the UK or the EU, nothing in this clause affects your statutory rights, including your right to bring proceedings in the courts of your country of residence where applicable law so permits.
